User Agreement

Effective Date: July 1st, 2024

1. Acceptance of Terms

1.1 By downloading, accessing, or using the Ridez app (“App”), you agree to be bound by this User Agreement (“Agreement”). If you do not agree with any part of this Agreement, you must not use the App.

1.2 Ridez (“Company,” “we,” “us,” or “our”) reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on the App. Your continued use of the App after changes are posted constitutes your acceptance of the updated Agreement.

2. Eligibility

2.1 You must be at least 9 years old to use the App. By using the App, you represent and warrant that you meet this age requirement.

2.2 If you are using the App on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to this Agreement.

3. Account Registration

3.1 To access certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct

4.1 You agree not to use the App for any unlawful or prohibited activities, including but not limited to:

Violating any applicable laws or regulations.
Infringing the rights of others, including intellectual property rights.
Transmitting harmful or malicious software.
Engaging in harassment, abuse, or threats.
Collecting or storing personal data about other users without their consent.

4.2 You agree to use the App in a manner that is respectful to other users and the community.

5. Content

5.1 You retain ownership of any content you post, upload, or otherwise make available through the App (“User Content”). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the App and our business.

5.2 We do not claim ownership of User Content and are not responsible for monitoring or reviewing User Content. However, we reserve the right to remove or disable access to any User Content that violates this Agreement or is otherwise objectionable.

6. Privacy

6.1 Your privacy is important to us. Please review our Privacy Policy [link to Privacy Policy], which explains how we collect, use, and protect your personal information.

7. Intellectual Property

7.1 The App and its original content, features, and functionality are owned by Ridez and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to this Agreement.

8. Disclaimers and Limitation of Liability

8.1 The App is provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, regarding the App, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 To the fullest extent permitted by law, Ridez, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the App; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the App; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.

9. Indemnification

9.1 You agree to indemnify, defend, and hold harmless Ridez, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the App, your violation of this Agreement, or your infringement of any intellectual property or other rights of any third party.

10. Termination

10.1 We may terminate or suspend your account and access to the App immediately, without prior notice or liability, if you breach any provision of this Agreement.

10.2 Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App.

11. Governing Law

11.1 This Agreement shall be governed by and construed in accordance with the laws of The Netherlands, Europe, without regard to its conflict of law provisions.

12. Miscellaneous

12.1 This Agreement constitutes the entire agreement between you and Ridez regarding the App and supersedes all prior agreements and understandings, whether written or oral, regarding the App.

12.2 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12.3 Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights.

12.4 You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer this Agreement, without such consent, will be null and of no effect. We may freely assign or transfer this Agreement without restriction.
